1. Introduction
These Terms of Use ("Terms") govern access to and use of the NexGenQE product website, product applications, software-as-a-service modules, APIs, documentation, support portals, trial environments, integrations, and related services made available by Pion Global Private Limited ("Pion Global", "we", "us", or "our").
NexGenQE is a proprietary AI-powered Quality Engineering and Test Automation product developed and operated by Pion Global as part of the PIEDAP (Pion Intelligent Enterprise Digital Assurance Platform) ecosystem (https://www.piedap.io). NexGenQE may be accessed through https://www.nexgenqe.com, related Pion Global domains, customer-specific environments, or approved product interfaces.
By accessing, browsing, registering for, purchasing, or using NexGenQE, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use NexGenQE.
2. About NexGenQE
NexGenQE is designed to support enterprise quality engineering, digital assurance, test lifecycle management, AI-assisted test design, automation orchestration, defect analytics, release readiness insights, integration with DevOps pipelines, and quality governance workflows. NexGenQE may include dashboards, AI-generated recommendations, automation assets, connectors, reports, alerts, templates, and analytics capabilities.
NexGenQE is intended for business and enterprise use. Access may be subject to a subscription, order form, statement of work, proof of concept terms, master services agreement, or other written agreement between Pion Global (https://www.pionglobal.com) and the customer organization.
3. Acceptance of Terms
You confirm that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement.
If you use NexGenQE on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
Your continued use of NexGenQE after any update to these Terms constitutes acceptance of the revised Terms.
Additional terms may apply to specific subscriptions, beta features, professional services, support plans, or integrations. If there is a conflict, the signed commercial agreement or order form will prevail to the extent of the conflict.
4. Definitions

5. Changes to Terms
Pion Global may update these Terms from time to time to reflect product changes, operational requirements, legal obligations, or business practices. The updated version will be posted on the NexGenQE website or made available through the product, with the revised "Last Updated" date. Material changes may also be communicated through email, in-product notice, or contractual channels where appropriate.
6. Eligibility and User Accounts
Certain features require account registration. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your credentials. You are responsible for all activities under your account, including activities of users invited by your organization.
Use strong passwords and promptly update compromised credentials.
Enable multi-factor authentication where available or required by your organization.
Notify Pion Global promptly of unauthorized access, suspected breach, or account misuse.
Ensure that user access, role assignments, and permissions are appropriate for your organization.
Pion Global may suspend or restrict access where account misuse, security risk, non-payment, breach of these Terms, or unlawful activity is suspected.
7. License and Access Rights
Subject to these Terms and any applicable commercial agreement, Pion Global grants the Customer and its Authorized Users a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use NexGenQE solely for internal business purposes during the applicable subscription or evaluation period.
No rights are granted except as expressly stated. Pion Global reserves all rights not expressly granted in these Terms.
8. Acceptable Use and Restrictions
You agree to use NexGenQE only for lawful, authorized, and intended business purposes. You must not:
• Access or attempt to access NexGenQE without authorization or bypass security controls.
• Reverse engineer, decompile, disassemble, copy, modify, or create derivative works from NexGenQE except where expressly permitted by law.
• Use scraping, crawling, automated extraction, excessive API calls, or load testing without prior written approval.
• Upload malware, harmful code, unlawful material, infringing content, confidential third-party data without authority, or data that violates applicable law.
• Use NexGenQE to develop a competing product or benchmark the product for publication without written consent.
• Interfere with the security, availability, integrity, or performance of NexGenQE or related infrastructure.
• Share user accounts, resell access, sublicense the Services, or permit unauthorized third-party access.
• Use AI features to generate unlawful, discriminatory, deceptive, or harmful outputs.
9. Customer Responsibilities
The Customer is responsible for the legality, accuracy, quality, integrity, and appropriateness of Customer Data and for the configuration and use of NexGenQE within its organization. Customer responsibilities include:
• Obtaining all required rights, consents, approvals, and notices for Customer Data.
• Configuring integrations, connectors, secrets, tokens, access controls, environments, and test repositories securely.
• Validating Output before relying on it for operational, quality, release, audit, contractual, or compliance decisions.
• Maintaining backup, retention, and business continuity practices appropriate for the Customer's business.
• Ensuring Authorized Users comply with these Terms and applicable internal policies.
• Avoiding submission of regulated, highly sensitive, or production personal data unless expressly permitted by the applicable agreement and configured with appropriate safeguards.
10. Fees, Subscription, Trials, and Payments
Access to NexGenQE may require payment of subscription fees, implementation fees, usage-based charges, support fees, professional services fees, or other charges set out in an order form, invoice, statement of work, or other commercial agreement.
Payment obligations: The Customer must pay all applicable fees and taxes on time according to the agreed payment terms.
Taxes: Fees are exclusive of applicable taxes, duties, levies, and similar charges unless expressly stated otherwise.
Trials and proofs of concept: Trial or evaluation access may be limited by time, features, volume, environment, or usage and may be terminated at any time if misused.
Non-payment: Pion Global may suspend or terminate access for overdue amounts after reasonable notice, unless otherwise stated in a signed agreement.
Refunds: Fees are non-refundable except as expressly stated in a signed agreement or required by applicable law.
11. Customer Data Ownership
As between the parties, the Customer retains all rights, title, and interest in Customer Data. Pion Global does not claim ownership of Customer Data. The Customer grants Pion Global a limited right to host, process, transmit, display, analyze, and use Customer Data solely as necessary to provide, secure, support, maintain, improve, and troubleshoot NexGenQE and as otherwise permitted by the applicable agreement.
12. Product Data, Usage Data, and Aggregated Insights
Pion Global may collect product telemetry, usage metrics, performance data, diagnostic logs, security events, and aggregated or de-identified analytics to operate, secure, improve, and support NexGenQE. Pion Global will not identify the Customer in external reports or marketing materials based on such analytics without permission.
Aggregated or de-identified insights that do not identify the Customer, Authorized Users, or Customer Data may be used for product improvement, service benchmarking, reliability analysis, and security enhancement.
13. Privacy and Data Protection
Use of NexGenQE is subject to the applicable Pion Global Privacy Policy and any data processing agreement or contractual privacy terms agreed between the parties. Pion Global will process personal data in accordance with applicable data protection laws, which may include the Digital Personal Data Protection Act, 2023 (India), applicable rules, the Information Technology Act and rules, GDPR, and other applicable laws depending on the Customer's location and use case.
The Customer is responsible for determining whether Customer Data includes personal data, sensitive data, confidential business information, regulated information, or third-party data, and for ensuring that appropriate notices, consents, lawful bases, contractual terms, and internal approvals are in place.
14. Confidentiality
Each party may receive non-public, proprietary, technical, commercial, security, or business information from the other party. The receiving party must protect confidential information using reasonable care and must use it only for purposes permitted under these Terms or the applicable agreement.
Confidentiality obligations do not apply to information that is publicly available without breach, independently developed without use of confidential information, rightfully received from a third party without restriction, or required to be disclosed by law, provided that the receiving party gives notice where legally permitted.
15. Security Responsibilities
Pion Global implements administrative, technical, and organizational safeguards designed to protect NexGenQE and Customer Data. However, security is a shared responsibility. The Customer must manage Authorized Users, credentials, tokens, network access, endpoint security, integration permissions, environment configurations, and secure use of the platform.
• Customer must not upload live credentials, secrets, API keys, private keys, or production secrets unless the product feature is specifically designed for secure secret handling.
• Customer must review integration permissions and revoke unused or excessive privileges.
• Customer must promptly report vulnerabilities, suspected incidents, unauthorized access, or misuse to Pion Global.
16. Third-Party Services, Connectors, and Integrations
NexGenQE may integrate with third-party tools, cloud providers, repositories, test automation frameworks, DevOps pipelines, AI services, issue trackers, identity providers, analytics tools, and other external systems. Use of Third-Party Services is governed by the applicable third-party terms and privacy practices.
Pion Global is not responsible for Third-Party Services, including their availability, functionality, security, data handling, errors, policy changes, or charges. The Customer is responsible for authorizing integrations and ensuring that use of Third-Party Services complies with its internal policies and applicable laws.
17. AI Features and Output Disclaimer
NexGenQE may use artificial intelligence, machine learning, rules-based automation, statistical models, or large language model capabilities to generate test cases, automation suggestions, risk signals, defect insights, requirement coverage analysis, release quality predictions, summaries, classifications, or other Output.
Advisory nature: AI-generated Output is advisory and informational. It must be reviewed by qualified personnel before use.
No guarantee: Pion Global does not guarantee that AI Output will be complete, accurate, error-free, unbiased, suitable for a particular release, compliant with all standards, or fit for production use without validation.
Human oversight: The Customer is responsible for human review, acceptance criteria, test adequacy decisions, release decisions, and compliance with its quality management process.
Input sensitivity: Output may depend on the quality, completeness, and structure of Customer Data, configuration, integrations, and user instructions.
Restricted reliance: AI Output should not be solely relied upon for legal, regulatory, safety-critical, financial, medical, or high-impact decisions.
18. Quality Engineering and Automation Disclaimer
NexGenQE supports quality engineering and test automation workflows but does not guarantee defect-free software, complete test coverage, successful production releases, absence of vulnerabilities, regulatory certification, or specific business outcomes. Test coverage, automation effectiveness, defect detection, and release readiness depend on the Customer's requirements, application complexity, environments, data quality, tools, integrations, effective usage of tool by customer representatives, and engineering practices.
19. Compliance and Standards Alignment
NexGenQE may support quality governance, traceability, control evidence, testing documentation, software development lifecycle alignment, and reporting practices that can assist customers with internal governance or external quality expectations. Any references to standards, frameworks, or good practices are for alignment and enablement only and do not constitute certification, audit approval, or assurance of compliance.
20. Intellectual Property
All rights, title, and interest in NexGenQE, PIEDAP, software, source code, object code, workflows, product design, user interface, templates, models, algorithms, connectors, documentation, logos, trademarks, service marks, trade names, know-how, and related intellectual property are owned by or licensed to Pion Global.
You may not use Pion Global, PIEDAP, NexGenQE, or other Pion Global names, marks, logos, or branding without prior written permission, except as expressly permitted in writing.
21. Feedback
If you provide suggestions, ideas, comments, enhancement requests, or other feedback about NexGenQE, you grant Pion Global a perpetual, irrevocable, worldwide, royalty-free right to use, incorporate, and commercialize such feedback without restriction or obligation, provided that Pion Global will not disclose Customer confidential information in doing so.
22. Open-Source and Third-Party Components
NexGenQE may include or interact with open-source software, third-party libraries, SDKs, APIs, and tools. Such components may be governed by their own license terms. Nothing in these Terms limits rights granted under applicable open-source licenses.
23. Service Availability, Maintenance, and Modifications
Pion Global strives to provide reliable Services but does not guarantee uninterrupted, error-free, or vulnerability-free operation. Services may be unavailable due to planned maintenance, emergency maintenance, upgrades, network failures, cloud provider issues, third-party outages, cyber incidents, force majeure events, or other circumstances.
Pion Global may modify, enhance, suspend, replace, or discontinue features, interfaces, APIs, models, reports, or functionality. Where practical and commercially reasonable, Pion Global may provide notice of material changes that significantly affect paid production use.
24. Support
Support obligations, support hours, response targets, service levels, escalation procedures, and support channels are governed by the applicable subscription plan, order form, statement of work, or support policy. Unless expressly agreed, response targets are not guaranteed resolution times.
25. Beta, Preview, and Experimental Features
Pion Global may offer beta, preview, pilot, early-access, or experimental features on a case-by-case basis to customers. Such features may be incomplete, unstable, unsupported, changed without notice, or discontinued. They are provided "as is" and should not be used for production-critical decisions unless expressly approved in writing.
26. Data Retention, Export, and Deletion
Data retention, export, and deletion are governed by the applicable agreement, product configuration, backup practices, and legal obligations. Upon termination or expiry, Customer access to NexGenQE may end immediately. Pion Global may retain Customer Data for a limited period for backup, legal, security, audit, billing, dispute resolution, or compliance purposes unless otherwise agreed.
The Customer is responsible for exporting Customer Data before termination where export functionality is available and required by the Customer.
27. Suspension and Termination
Pion Global may suspend or terminate access to NexGenQE where necessary to protect the platform, comply with law, respond to security incidents, prevent misuse, address non-payment, enforce these Terms, or comply with a regulatory or governmental request.
The Customer may discontinue use in accordance with the applicable agreement. Termination does not relieve the Customer of payment obligations accrued before termination. Clauses that by their nature should survive termination will survive, including intellectual property, confidentiality, data protection, disclaimers, limitation of liability, indemnity, governing law, dispute resolution, and payment obligations.
28. Disclaimers of Warranties
To the maximum extent permitted by law, NexGenQE and the Services are provided on an "as is" and "as available" basis. Pion Global disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free performance, data accuracy, and availability.
Pion Global does not warrant that NexGenQE will meet all Customer requirements; detect all defects, risks, vulnerabilities, or test gaps; produce complete or accurate AI Output; integrate with all systems; or achieve any specific business, operational, quality, compliance, audit, or financial result.
29. Limitation of Liability
To the maximum extent permitted by applicable law, Pion Global and its affiliates, directors, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, revenue, goodwill, data, business opportunity, production time, or anticipated savings, even if advised of the possibility of such damages.
Except for amounts that cannot be limited under applicable law or as expressly stated in a signed agreement, Pion Global's total aggregate liability arising out of or relating to NexGenQE will not exceed the fees paid by the Customer for NexGenQE during the six (6) months immediately preceding the event giving rise to the claim.
30. Indemnification
You agree to indemnify, defend, and hold harmless Pion Global, its affiliates, directors, officers, employees, contractors, and licensors from and against claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from:
• Your breach of these Terms or applicable law.
• Customer Data, including allegations that Customer Data infringes or violates third-party rights.
• Your unauthorized or improper use of NexGenQE or Third-Party Services.
• Your configuration, release, deployment, testing, operational, or business decisions based on Output.
31. Export Control, Sanctions, and Anti-Corruption
You must comply with all applicable export control, sanctions, anti-bribery, and anti-corruption laws. You may not use NexGenQE in any jurisdiction or by any person or entity prohibited by applicable law, or in connection with unlawful, restricted, or sanctioned activities.
32. Publicity
Pion Global will not use the Customer's name, logo, or trademarks in public marketing materials without prior consent, unless permitted under a signed agreement. The Customer must not make public statements implying endorsement, certification, partnership, or approval by Pion Global without written permission.
33. Notices
Notices to Pion Global relating to these Terms should be sent to the contact details listed below or to any updated legal notice address published by Pion Global. Pion Global may provide notices by email, in-product message, website posting, invoice notice, or other reasonable means.
34. Assignment
You may not assign or transfer your rights or obligations under these Terms without Pion Global's prior written consent. Pion Global may assign these Terms in connection with merger, acquisition, corporate restructuring, financing, sale of assets, or transfer of the relevant business line.
35. Force Majeure
Pion Global will not be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, epidemics, labor disputes, power failures, internet or telecommunications failures, cloud provider outages, cyberattacks, or third-party service failures.
36. Severability and Waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Failure to enforce any provision will not constitute a waiver of that provision or any other provision.
37. Entire Agreement and Order of Precedence
These Terms, together with any applicable order form, statement of work, data processing agreement, privacy policy, support policy, product documentation, and signed agreement, constitute the agreement governing use of NexGenQE. If there is a conflict, the following order of precedence applies unless a signed agreement states otherwise: (1) signed master agreement or statement of work; (2) order form; (3) data processing agreement; (4) these Terms; (5) product documentation and website materials.
38. Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to the dispute resolution clause below, the courts located in Bengaluru, Karnataka, India will have jurisdiction.
39. Dispute Resolution
Any dispute arising out of or relating to these Terms will first be attempted to be resolved through good-faith discussions between authorized representatives of the parties. If the dispute is not resolved within thirty (30) days, it will be referred to binding arbitration in Bengaluru, Karnataka, India, conducted in English, in accordance with applicable Indian arbitration law. The arbitral award will be final and binding. Either party may seek interim or injunctive relief from a court of competent jurisdiction where necessary to protect confidentiality, intellectual property, data, or platform security.
